By using PerfectBusiness.com, you agree to the stipulations laid out in these Terms & Conditions as well as in the Privacy Policy and other posted rules. All terms, conditions, rules and policies should be read and fully understood before entering the Web site. PerfectBusiness may alter these policies at any time and reserves the right to ban any member who violates any rule or policy. If you do not agree to these or any future Terms & Conditions, please refrain from visiting the site. Continued use of the site constitutes your acceptance of the latest Terms & Conditions.

PerfectBusiness.com is a community network designed to bring together entrepreneurs, investors, buyers, sellers, marketers and experts in a forum that excites conversation. Many of the Web site’s functions allow for free exchange of information, ideas, photos and documents. The use of any such content is for your sole personal use ONLY and shall not be reproduced, sold, redistributed, retransmitted or sublicensed.

Users must be 18 years of age and not previously banished or blocked from the Web site by employees, administrators or owners of PerfectBusiness. Users must not misrepresent themselves or their business in any fashion that constitutes fraud or meaningful deception. PerfectBusiness reserves the right to refuse services and/or products to anyone. You agree that PerfectBusiness will not be held liable for losses or damages due to this refusal.

PerfectBusiness is not responsible for user-posted content throughout the Web site. Therefore, we are not responsible for content that:

• Is fraudulent or overtly deceptive
• Violates copyright or trademark laws or provides a link to unauthorized content
• May be interpreted as pornographic, repulsive and/or malicious
• Violates any SEC rules or any state or federal laws
• Is harmful in any manner

PerfectBusiness shall not be responsible for the ideas, opinions and content posted by our users. PerfectBusiness users shall not post, share, download or link to content deemed pornographic, deceivingly ambiguous or intentionally inaccurate, blatantly offensive or distasteful, racist or sexist, criminal, to encroach one’s privacy without consent, hate related, physically threatening, detestably crude, sexually or physically harassing, spam, to promote or mention illegal drugs and to certainly inconvenience the operations of PerfectBusiness. Users may not promote or discuss any multi-level marketing and/or Ponzi schemes.

PerfectBusiness is not responsible for contextual errors and is not liable for user damages or losses affiliated with usage of the site. PerfectBusiness is not liable for viruses, bugs, Internet worms or other technological inconveniences that arise after visiting or using PerfectBusiness.com. PerfectBusiness is not responsible for users' inability to navigate, learn, profit or understand our Web site. All content is legally considered to be posted on an "as is" and "with all faults" basis.

At any time, content found throughout PerfectBusiness.com (Web copy, attached documents, photos, blogs, forums, comments, etc.) can be modified or deleted at the sole discretion of PerfectBusiness. PerfectBusiness has the right to screen and/or delete any and all content.

PerfectBusiness, our partners, employees, affiliates and lawyers will be held harmless from any liability in association with 1) your violation of this User Agreement and the Privacy Policy, 2) your use of the Web site, 3) violation of copyright, property or privacy laws.

Any passwords obtained from Web site usage are not transferable and must be kept private.

Users shall pay for subscriptions, PerfectBusiness services and products with accurate credit card information. Credit card fraud will not be tolerated and all charges, including taxes, must be honored by any given credit card company.

Users do not have the right to post any content that is protected by another individual or entity’s copyright or trademark. We reserve the right to remove any copyrighted material from our Web site along with the option of removing the offending user as well. You may not use the PerfectBusiness trademark, copyrighted material or logo without explicit, written and signed consent.

PerfectBusiness is NOT a substitute for legal counsel. The Web site is designed to guide users through launching and growing a business, as well as provide a place for investors, buyers, sellers, marketers and business networkers to develop entrepreneurial skills and offer advice.

The public information center that PerfectBusiness has created does not establish the Web site as a legal spearhead. While it does serve as a starting point for business consultation, we suggest our users to consult licensed attorneys regarding any legal matter.

A number of forms must be filed with the state and federal governments when starting and growing a business. We provide many of these forms in downloadable formats for the convenience of our users. The filing requirements vary and are, most often, time sensitive.

Filing forms may include tax documents, annual reports, permit and licensing forms, Articles of Organization, etc. PerfectBusiness educates our users on these forms from creation, to how, where and when to file them. However, we are not liable for filing mishaps, misunderstandings or failed obligations.

Monthly memberships will be automatically renewed from period to period until cancelled by the user. User’s failure to cancel his/her membership authorizes PerfectBusiness to resume billing through user’s preferred payment method.

Payment cycles commence the date a user’s payment card is charged and end on the same date of the following month (e.g., July 10, 2008 – August 10, 2008). If the commencement date is not found on the following month, the user will be billed on the last day of the month.

PerfectBusiness may adjust membership-level fees at any time. PerfectBusiness will not refund membership fees for past transactions. In order to validate billing addresses and payment card authenticity, users empower PerfectBusiness to exercise a pending charge for monthly memberships. PerfectBusiness will not be held responsible for overdraft, finance and any other fees charged to users’ payment-card bank or institution.

Users will be notified if their payment card is declined at any time during membership. Users will have 21 days to resolve the situation, or their membership will be cancelled immediately following this grace period. When rectified, users’ original payment cycle will commence there forth.

Users may cancel their memberships at any time. Users will not be charged for subsequent payment cycles upon membership cancellation, but will continue to enjoy full membership privileges until their paid membership period ends. Yearlong memberships are paid for in advance and no partial reimbursements will be made.

Users may upgrade membership levels at any time as long as accounts are entirely up to date. Billing will reflect adjustments on the subsequent billing cycle, which will retain the matching activation date. Membership upgrades may be prorated so future payments will be billed at the same time.

All paid memberships are considered “Premium� memberships (e.g., Silver and Gold). Cancelling a Premium membership will downgrade the user to a free basic member. Users may cancel Premium memberships at any time by navigating to the “Settings� tab under “Edit Profile.� To remove a basic member’s “Profile� from the Web site and database, users must send a request to membership@perfectbusiness.com.
